WORLDHOTELS REWARDSSM TERMS AND CONDITIONS

 

These Terms and Conditions (“Terms”) which became effective from January 1st, 2023 (“Program Date”) until December 31st, 2025, govern the WorldHotels RewardsSM  loyalty program (“Program”).

The expressions “you” and “your” are used herein to the refer to persons resident in Italy and in the Republic of San Marino who are enrolled in the Program (“Members”) and have created their own account (“Account”) on the website www.worldhotelsrewards.com (“Website”).

ABOUT THE PROGRAM

The Program is managed and organized in Italy and in the Republic of San Marino by World Hotels GmbH (“WorldHotels”) and Best Western Italia S.c.p.A. (“BW Italia”). WorldHotels and BW Italia are jointly referred to herein as “Promoters”.

The Program is administered by the Promoters on behalf of themselves, and their affiliates and subsidiary companies, as well as independently owned and operated WorldHotels branded hotels worldwide (“Licensed Hotels”). Please note that participating and Licensed Hotels are independent entities that are not owned, managed, operated or controlled by WorldHotels or its affiliates and subsidiaries. Not all Licensed Hotels participate in the Program. You are invited to view the list of the participating Licensed Hotels (the “Participant Hotels”) on the Website.

The Program gives Members the opportunity to earn (i) WorldHotels Rewards points (“Points”), (ii) airline miles with given partner airlines (“Miles”) and (iii) other points, services or products offered by other Program partners. The Points may be converted into free nights at the Participant Hotels and at the Best Western ® brand hotels participating Best Western Rewards Program® (“BW Hotels”).

Further details about redemption options are described in this document and available on the Website.

BECOMING A MEMBER OF THE PROGRAM AND CREATING AN ACCOUNT

The persons who are not yet Members may enroll in the Program as new Members (i) through the Website, (ii) by calling the WorldHotels call center, or (iii) at the reception of a participating and Licensed Hotel.

Members must be at least 18 (eighteen) years old.  

In order to create an Account as Member, that tracks your Points and the Account’s activities, you shall provide your accurate and complete data, including a current valid email address, a telephone number and your mailing address (“Account Information”). You shall never use another Member’s Account without authorization.

ACCEPTANCE OF THESE TERMS AND CONDITIONS - ACKNOWLEDGEMENT OF WORLDHOTELS’ PRIVACY POLICY

The Program membership requires the consent and acceptance of these Terms and Conditions.

By participating in the Program, you are providing your personal data to WorldHotels and to its service providers, including Best Western International Inc., which uses systems located in the United States to process your enrollment and maintain your Account.

By participating in the Program or staying in the Program, you represent to WorldHotels that you have read and acknowledged the WorldHotels’ Privacy Policy: https://www.worldhotels.com/imprint-and-privacy-policy. If you represent an entity or organization, you guarantee that each Member participating in the Program as employee or external collaborator of your organization, whose personal data may be processed by WorldHotels, has read and acknowledged the aforementioned Privacy Policy.

The Promoters are responsible for carrying out this Program vis-à-vis the Members. From time to time you may provide your personal data to WorldHotels affiliates and/or subsidiaries for various purposes. Any personal data you provide to such entities may be subject to their privacy policies. You acknowledge and accept that the Promoters may receive your data from such WorldHotels affiliates and/or subsidiaries and that their respective privacy policies shall apply to the processing of your personal data.

USE OF THE ACCOUNT INFORMATION

WorldHotels’ Privacy Policy envisages the identification of the data controller and the data processor, as requested by the EU legislation currently in force. In addition to the processing of personal data by WorldHotels in relation to the Account Information (see WorldHotels’ Privacy Policy:https://www.worldhotels.com/imprint-and-privacy-policy), we use such personal data to manage and administer your participation in the Program and, to the extent permitted by law, to improve the Program.

In addition to the above, and for the purpose of following up on what is defined in the Program (and, therefore, in these Terms), you hereby authorize WorldHotels, even through its data processors, to share your Account Information with its subsidiaries and third parties, including participating and Licensed Hotels, airline and other Program partners, which include reward suppliers and suppliers who collaborate to satisfy the rewards redemption requests, and technology service providers in order to service your Member Account and facilitate the booking and processing of reservations.  

You may modify your Account Information at any time by logging in to your Account and updating your profile. It is your responsibility to keep your Account Information correct and updated. WorldHotels provides all statements, communications and updates relating to the Program and to your Account by email to the address associated with your Account. Communication is fundamental for the Program administration. If you do not keep your Account Information up-to-date, including a valid and operating email address, you may not receive the statements or other important communications relating to the Program. Moreover, without a valid email address, you may not be able to receive certain types of rewards including: free nights, virtual gift cards and other products that are delivered in a digital format. WorldHotels reserves the right to undertake any action that it may deem necessary to protect your Account from unauthorized access or from fraud, including the suspension or limitation of your Account until you confirm the relevant data.

You may view your Account Information at any time by accessing your Account on the Website.

To the extent allowed by law, you are responsible for checking your Account activity and report any suspicious activity to the Promoters.

EARNING POINTS THROUGH HOTEL STAYS

Members’ stays at the Participant Hotels and at the BW Hotels allow Members to earn Point, Miles or points offered by other WorldHotels partners (“Eligible Stays”), except for the following (“Non-Eligible Stays”):

  • stays booked through online travel agencies (“OTAs”), as priceline.com, expedia.com, travelocity.com, booking.com, kayak.com (i.e. channels other than WorldHotels brand channels);
  • stays booked through tour operators; and
  • stays booked at special discounted rates, such as employee rates, FIT rates, crew rates, negotiated rates, cadeau rates, coach/bus rates or discounted rates for stays over thirty (30) nights.

It should be noted that Members’ stays at Licensed Hotels that are not participating in the Program shall be considered as a Non-Eligible Stays.

The prerequisites that qualify a rate or a reservation channel as an Eligible Stay rather than a Non-Eligible Stay may be subject to change, therefore it is necessary that, at the time of the reservation, you specify whether you are making a reservation at a rate which is considered as Eligible Stay, whereby Points may be earned, or as Non-Eligible Stay, by which no Points can be earned. This is even more important if you book through a channel other than the WorldHotels branded channel.

You will earn ten (10) Points for each U.S. dollar (1.00 $) (about Euro 0.90) spent for Eligible Stays. VAT is included in the calculation, except for the U.S. and for other geographical areas. Points are not recognized on tourism tax and ancillary charges. It is possible to earn Points for a maximum of three (3) rooms per Eligible Stay provided that: (a) at least one (1) room is occupied by you; (b) you pay for all the rooms; (c) Points for the room (as per letter “a”) have not been credited to another Member; and (d) you have submitted your WorldHotels Rewards card number upon reservation or at check-in.

If you occupy a room with another Member, only one (1) Member shall receive the Points and you shall decide amongst yourselves who will receive them.

Points are credited to your Account within seven (7 days) after check-out.

Single rooms for stays that are directly billed to a corporate account, but in relation to which you are individually responsible for the authorization and final payment at check-out, are an Eligible Stay. In case of a group reservation of an Eligible Stay, the Points may be accumulated only for three (3) rooms. The selection of the three (3) rooms (and of the Members) who shall be credited the Points is at the discretion of the Member who makes the reservation.

In order to calculate the Points for Eligible Stays that are paid in currencies other than U.S. Dollars (e.g. Euro), the Promoter will convert the amount to be paid in U.S. Dollars by applying an exchange rate that is determined by WorldHotels, once per day on the basis of officially published conversion rates on “Open Exchange Rates” platform and reported by WorldHotels, then will calculate the Points based on the converted payment amount.

If you, as Members, have an Eligible Stay, but fail to submit your membership card or, in any case, you fail to record the stay in your Account, you must request a credit for such Eligible Stay within six (6) months from the date of such stay by visiting the Website or by calling the WordHotels call center. The request shall include your name, Account number, address, a telephone number at which you can be reached during the day and/or your email address, and your booking confirmation number.

If you enroll in the Program after an Eligible Stay, you may request your credit only if your enrollment occured within thirty (30) days after the end of such stay. The request for credit shall include your name, Account number, address, a telephone number at which you can be reached during the day and/or your email address, and your booking confirmation number.

POINT TRANSFERS

Members can transfer accumulated points to other members at any time by calling the WorlHotels call center. To request a Points transfer from your Account to the recipient of your choice, the transferring member’s Account must be open for at least thirty (30) days and not be in restricted status. The transferring member must provide the recipient’s full name and WorldHotels Rewards account number. Transfer over 50,000 are subject to further review and approval. A maximum of 100,000 points may be transferred per rolling calendar year.

EARNING AIRLINE MILES OR CARTAFRECCIA POINTS

Rather than earning Points as envisaged herein, you may also decide to earn airline miles (“Miles”)  or CartaFreccia points (“CartaFreccia Points”) with one of the respective programs of any of our approved partners, by making a direct request at the time of your stay, accessing your Account through the Website or calling the WorldHotels call center and asking the WorldHotels customer service operator to credit Miles or CartaFeccia Points (instead of Points) as an option, specifying  Partner Program and providing your frequent membership number like frequent flyer. The Airline Loyalty Programs may have different Mile credit rules according to the rules and the terms and conditions of each single program. Please contact WorldHotels call center before booking an Eligible Stay in order to receive any updated information about the number of Miles or CartaFreccia Points you are entitled to.

In any case, it should be noted that, only for the purposes of crediting the Miles or CartaFreccia Points offered by Partner Programs, reference should be made to the definition of Eligible Stay on page 3 hereof.

Please visit the Website for the full list of the Partner Programs and how to accrue the respective points.

For the sake of clarity, if you request WorldHotels to credit Miles or CartaFreccia Points instead of Points, you will not earn Points, but you will accumulate only Miles or CartaFreccia Points for the Partner Program that you have selected. At any time you may resume to earn Points instead of Miles or CartaFreccia Points through the same procedure.

Miles earned for the Airline Loyalty Program you have selected are updated within approximately ten (30) days from check-out. As the Miles update requires the Airline involvement, under some circumstances the time required may be longer.

Each Partner Program keeps its own rules and terms and conditions, to be applied to the use of your Miles or CartaFreccia Points. The Promoters have no responsibility for any Partner Program’s terms and conditions.

From time to time, the Promoters may offer special promotions in partnership with the Partner Programs that allow to earn additional Miles or CartaFreccia Points. You may participate only if you have chosen to accumulate points of the respective Partner Programs (instead of Points) when you participate in the Program. Such promotions will be subject to further promotion terms and conditions or rules to be published where the promotion is advertised.

Promotions

All the participants can participate in further promotions (if organized), where they may earn bonus Points according to terms and conditions applicable to any such intiative. Please carefully read the relevant terms and conditions.

 “BWHR PLANNERS ADVANTAGE” INITIATIVE

The “BWHR Planners Advantage” initiative is reserved to the Members who, as for meeting organization referent for companies, entities or brokers, reserve – at one of the Participant Hotels or BW Hotels on Italian territory that joined the BWHR Planners Advantage initiative – conference room and at least 10 (ten) bedrooms, as follows:

  • at least 10 (ten) bedrooms per each night of the stay; alternatively
  • any combination of bedrooms and nights, provided that the duration of each stay is at least equal to 5 (five) nights (e.g. 2 bedrooms x 5 nights).

Each Member, who reserves through the abovementioned BWHR Planners Advantage initiative, accrues 2 (two) Points per any US dollar (1,00 $) (about Euro 0.90) paid. The expenditure is calculated upon the reserved bedrooms, the booked meeting room and the ordered catering services. The maximum expenditure within a single reservation is $30,000 (thirty thousand) (about Euro 27.575).

Each Member, at the time of the reservation at the Participant Hotel or BW Hotel on Italian territory, must provide the following info:

  • references of the company that organizes the meeting;
  • the member Code.

Should the Member be an employee of the company that organizes the meeting or a broker, he/she shall  sign and provide a self-declaration form to be provided by the staff of the Participant Hotel or BW Hotel, in which he/she confirms that he/she has obtained permission from his/her employer to participate in “BWHR Planners Advantage” and to receive the benefits and rewards up for grabs.

As part of this initiative, the Member may decide, at his/her own discretion or in the event of a ban on accepting rewards due to internal company policy, to use the accreud Points to make charitable donations to WorldHotels partner associations, as indicated on the Webite, or, at his/her option, he/she may choose to receive a $25.00 (twenty-five) (about Euro 23.00) discount on his/her master account, which are equal to 5,000 points accrued for the eligible event. He/she may have a maximum discount of $150.00 (about Euro 138.00) per eligible event (equivalent to a total of 30,000 points).

Alternatively, it is always possible to redeem Points for free nights according to the “Redeeming Points for Free Nights” section of these Terms and Conditions.

For matters not expressly provided for in this section, the other provisions of these Terms and Conditions shall apply.

It should be noted that the Promoters accept no liability whatsoever in the event of false statements by the Member participating in “BWHR Planners Advantage”, who expressly indemnifies and holds the Promoters harmless from any claim for damages by his employer arising from his unauthorised participation in the aforesaid initiative.

OTHER WAYS TO EARN POINTS

WorldHotels could provide you with other opportunities to earn Points also by purchasing certain products and services listed on the Website.

THE “INNSIDER” INITIATIVE

The “Innsider” initiative is an incentive program reserved to the employees and collaborators of the Participant Hotels in Italy (“Innsiders”), that are enrolled in the Program as Members.

The Innsiders may enroll in the Program through the intranet platform accessible through the link [hotel.bwhhotelgroup.com], by entering the credentials provided by WorldHotels. After enrolling, the Innsider will be given a personal ID.

Points are credited to the Innsider as follows: when a new Member joins the Program at a Participant Hotel worldwide, the Innsider receives 250 Points. In addition, for each valid email address collected at the time of a Member registration, the Innsider will receive 250 additional Points, for a total of 500 Points. The Innsider shall enter the new Member’s details correctly by completing each section of the registration form, via a specific tablet, with the details provided by the new Member.

For each Eligible Stay of the Member, the Innsider will be awarded of only one incentive (i.e. 500 Points), regardless of the number of reserved rooms by the Member and/or the number of Eligible Stays had thereafter.

In any case, still with reference to Innsiders, during the Program term, all the Innsiders can participate in initiatives of double points/bonus points or bonus miles, that will be described to the Innsiders from time to time.

Please note that the Promoters reserve the right to exclude the Innsider in case of an established fraudulent conduct (by way of example, without limitation, the creation of WorldHotels Rewards cards in the name of Members, onto which the Points are requested to be credited and/or the fraudulent use of any third party’s identity). In addition, the Promoters reserve the right to exclude the Innsider in the event of repeated episodes of incorrect completion of the registration form for new Members. 

POINT REDEMPTION FOR FREE NIGHTS

Points (a) may be redeemed for one (1) free overnight stay (i.e. without any cash contribution) at a Participant Hotel and/or BW Hotels, or (b) may be added to a cash contribution for one (1) overnight stay at a Member Hotel and/or BW Hotels.

(a) Free overnight stay

The number of Points required for one (1) free overnight stay at a Participating Hotel and/or BW Hotels is based on the expected average daily rate on the date requested for the stay, which varies throughout the year and is subject to change at the discretion of WorldHotels. To find the number of Points required for a free overnight stay, please visit the Webite, or contact the WorldHotels call center. A free night’s stay in a standard bedroom for 2 (two) persons in any Participant Hotel or BW Hotel includes the cost of the bedroom and taxes related to the bedroom, but does not include incidental charges (such as, but not limited to, resort tax), resort fees, or other charges that Participant Hotels or BW Hotels may charge you, such as (but not limited to) parking fees.

Free nights may be reserved at any Participant Hotel or BW Hotel worldwide and are subject to room capacity and availability checks. To check availability or book a complimentary night stay, visit the Site or contact the WorldHotels call centre.

Free nights cannot be booked through travel agents or online travel agencies and are not commissionable.

Free nights are not redeemable for cash. Free nights may be given as a gift to a recipient of your choice, subject to the terms and conditions to be announced by the Promoters through the Website,

in the form of a paper or electronic voucher issued by 30 September 2024.

We invite you to check the Website for updates. Reservation of free nights through vouchers must be made by calling the WorldHotels call center. Once the voucher is issued it is not transferable.

If a reservation for a free overnight stay redeemed with Points is not cancelled within the required cancellation period and the Member does not show up, Points will in any case be deducted from the Account.

A Free Night Award in a standard room at any Licensed Hotel includes the cost of the room and room taxes, but does not include incidental charges, resort fees, or other fees that the Licensed Hotel may charge, such as parking fees. Licensed Hotels in certain locations may be required to charge a city tax, which must be paid at check-out.

(b)       Modalità “Pay with points”

The programme envisages the possibility for Members to benefit from 1 (one) overnight stay at an Licensed Hotel using the Points accumulated together with a cash contribution which will be quantified on the basis of the Points conversion rate expressly indicated on the BW Italia Website.

The PAY WITH POINTS (FX2) rate is valid only at participating hotels. Room availability is limited and subject to advance booking.  The PAY WITH POINTS (FX2) rate can only be booked on bestwestern.com.

A minimum of 5,000 Points is required for a PAY WITH POINTS booking. Members can book a PAY WITH POINTS stay for standard rooms using any combination of points and cash, in increments of 1,000 points, starting at 5,000 Points.

For multi-night stays, PAY WITH POINTS only applies to the first night of the stay.

The cash portion of the PAY WITH POINTS rate is displayed in the local currency. The total number of points will be displayed during the booking process prior to purchase. A valid credit card is required to make the booking. Reservations are subject to the booking terms and conditions of the participating hotel, including cancellation policy.  

Unless otherwise stated in the offer, the PAY WITH POINTS (FX2) rate cannot be used to purchase packages. The PAY WITH POINTS (FX2) rate is available for standard rooms.

PAY WITH PONTS cannot be combined with other discounts or offers.  Points requirements vary depending on several factors, including but not limited to time of year, brand and hotel location.

Reservations made through PAY WITH POINTS cannot be changed. To change your booking, you must first cancel the booking and, if possible, make a new booking. You can cancel a reservation via www.bestwestern.com, by calling a Best Western reservation center or by contacting the participating hotel.  If you cancel your reservation in accordance with the hotel's cancellation policy, the points will be reallocated to your account and your credit card will not be charged. If, however, the cancellation is not made within the period specified at the time of confirmation, Best Western will not credit the account with the redeemed points and will charge the credit card for the cash cost of the first night.

With PAY WITH POINTS bookings:

  • You can only earn Points on the cash portion of your stay;
  • Points are only earned on the room rate;
  • you can earn Elite Points;
  • bookings are counted towards the Elite level.

MILES ACCUMULATION OR CARTAFRECCIA POINTS

If you have requested WorldHotels to credit Miles or CartaFreccia Points instead of Points, you have earned your Miles or Cartafreccia Points when you have paid for your Eligible Stays or, possibly, through your purchases with other partners; these Miles or CartaFreccia Points will be subsequently transferred to your Airline Loyalty Program Account and no subsequent conversion will be required.

In addition, each Partner Program maintains its own rules and terms and conditions of the program, applicable to the Miles or CartaFreccia Points use. The Promoters are not responsible for the terms and conditions of any Partner Program.

OTHER WAYS TO REDEEM POINTS

Other redemption options: it is also possible to redeem Points for a wide range of other products by visiting the Website or by contacting the WorldHotels call center.

For the redeemed products that are delivered in a digital format, such as a gift card, in general you will receive an email containing your gift card within seven (7) days after redeeming the Points. For the redeemed products that are mailed to you, such as a gift card but not in a digital format, the Promoters undertake to send by mail such items as soon as possible; in some cases, however, it may take between four (4) to eight (8) weeks for shipping them, based on the availability of the specified products.

For safety reasons, redeemed products shall not be sent to a P.O. Box. The package and/or certain types of gift cards and merchandise may not be available outside of some regions. Please make sure that the address in your Account is a valid personal address before requesting to redeem Points.

All gift cards and gift certificates redeemed with Points are subject to further terms and conditions imposed by their issuers, which may include expiration dates, non-use charges and other restrictions. Certain gift card and gift certificates providers charge fees for non-use. Consequently, the Promoters may only guarantee that a gift card or gift certificate will be redeemable at full nominal value (i.e. without deductions for non-use) for six (6) months from the date of your order.

Many products purchased by redeeming Points are provided through independent suppliers and are subject to additional terms and conditions. The Promoters do not provide any warranty or representation of any kind whatsoever, either express or implied, in relation to such products and, to the extent permitted by the law of the competent jurisdiction, they shall not be liable for any loss, expense, accident or inconvenience that may arise in relation to the use of such products. Gift cards and gift certificates are not exchangeable, reimbursable, or modifiable under any circumstance and are not replaceable in case of loss or destruction.  

General:  

It is the Member’s responsibility to select an option for Points redemption that corresponds to the Member’s intended use. To the extent permitted by the applicable law, when the Member’s requests are satisfied, the products obtained by redeeming the Points cannot be returned or reimbursed and the products are subject to availability.

The Promoters will make their best efforts, in good faith, to fulfill an order in relation to the items requested; however, if an item is not available, the Promoters reserve the right to replace it a similar item, having an equivalent value.

ELITE STATUS

WorldHotels offers four (4) different Elite Status levels (Gold, Platinum, Diamond and Diamond Select). To obtain an Elite Status, you need to accumulate the required number of nights, Eligible Stays, or points in one (1) calendar year, as shown in the table below:

As an Elite Status Member, if you have chosen to earn Points, you will receive bonus Points for each Eligible Stay made during the period of time in which you maintain the Elite Status, as follows:

  • the Members who reached the Gold Elite Status receive a 10% Point bonus;
  • the Members who reached the Platinum Elite Status receive a 15% Point bonus;
  • the Members who reached the Diamond Elite Status receive a 30% Point bonus
  • the Members who reached the Diamond Select Elite Status receive a 50% Point bonus.

Bonus Points will be awarded starting from the first Eligible Stay after Elite Status is achieved.

Members who have achieved the Elite Status may transfer Points to other Members, free of charge.

Members who achieve the Gold, Platinum, Diamond, and Diamond Select Elite Status receive a welcome gift at check-in.

Members who have achieved the Platinum, Diamond, and Diamond Select Elite Status may receive an upgraded room at check-in. The assignment of an upgraded room, upon availability of the Licensed Hotel may include rooms with a better view, upper floor rooms, rooms with special services or those close to leisure facilities, or suites. If a Member who has achieved the Platinum, Diamond, or Diamond Select Elite Status books multiple rooms, the room upgrade will be available only for the room occupied by such Member and not for other rooms included in the reservation, and the Member with the specified Elite Status must be present and occupy one (1) of the rooms in order to receive any benefit referred to the Elite Status. In case of a group reservation, only the Member with the Elite Status will receive the Elite Status benefits. The assignment of upgraded rooms are subject to availability. Participating and Licensed Hotels are not required to provide upgrades of special rooms or suites.

POINT EXPIRATION AND TERMINATION OF PROGRAM

Points earned within the scope of the Program will be valid until the end of the Program duration period.

The Promoters reserve the right to delete any Member’s Account and annul all unredeemed Points upon occurrence of any of the following circumstances:·         any breach of these Terms;

  • provision of false or incorrect Account data or improper use of the Program;
  • any violation of any national, state or local laws or regulations;
  • any exchange or sale by you of Points or products obtained from redemption (even for business purposes);
  • failure to pay for Licensed Hotel charges, including any payment in such hotels that turns out to be invalid or was rejected due to insufficient credit;
  • any fraud or abuse perpetrated in any stage of the Program;
  • knowingly maintaining more than one (1) active Account;
  • any action or conduct that, at the Promoter’s sole discretion, is deemed unreasonable, harassing, offensive or prejudicial to the Program, to any of its partners, or to any WorldHotels representatives or employees, or to the staff of Licensed Hotels; or
  • in case of any suspicious activity in your Account.

APPLICABLE LAW; ARBITRATION

Please read carefully. The following affects your rights.

Regarding the Members residents in Italy or San Marino, this terms and conditions as well as all rights and obligations arising from the same is governed by the Italian law. The Italian courts shall be the only competent court for any dispute which might arise in relation to the content of this terms and conditions. Notwithstanding the foregoing, any other dispute arising between members residents in Italy and San Marino and the Promoters, or any WorldHotels subsidiaries and affiliates, deriving or related in any way whatsoever to these Terms or to your participation in the Program, shall be settled by applying the laws of the State of Arizona or the federal laws of the United States, as the case may be, without regard to principles of conflict of laws. This includes, without limitation, all claims and disputes, including collective actions, relating to or deriving from your participation in the Program, including any claim relating to or deriving from any unauthorized disclosure or access to any Account data (“Security Breach”), any claim for rights violation on advertising or marketing, product liability or disputes between consumers (“Claims”).

If the Claims envisaged by the law in force in the State of Arizona or by the laws in force in the United States are not applicable, the law governing the relationship between the parties shall be the substantive law of England and Wales.

In addition, all Claims, judgments and indemnifications shall be limited to the costs actually sustained (including, with reference to Security Breaches), the costs for the notifications legally  required and for remedy actions) but shall not include in any case legal expenses, and under no circumstance shall a Member obtain judgments for (and by virtue hereof each Member waives) punitive, indirect, special, consequential damages and any other type of damage not consisting in costs actually sustained. In addition, any claim, including any issue regarding its existence, validity or solution, will be referred to, and finally settled through, arbitration administered by  the London Court of International Arbitration (“LCIA”) pursuant to the LCIA Rules, that are deemed included in this clause, unless otherwise provided for herein. The arbitration panel will be composed of three members. The arbitration venue will be London, England. The language to be used in the arbitration proceedings will be the English language. The award shall be binding and effective as a judgment. For any Claim in which the total damage claimed amounts to 10,000 U.S. dollars (about Euro 9,192.00) or less, the arbitration is conducted exclusively based on written communications and does not require that the parties or witnesses personally appear unless otherwise agreed between the parties. The foregoing paragraph shall not be applicable if it is forbidden by the Italian applicable laws.

Without prejudice to the above, each Member and the Promoter are entitled to seek an injunction or order (unless otherwise precluded by any other provision hereof) in the state or federal courts of Phoenix, Arizona (United States) or at the Member's place of residence or domicile.

OTHER TERMS AND CONDITIONS

You, as a Member, are solely responsible for calculating and paying any tax.

Neither the Promoters nor their subsidiaries, affiliates, employees, agents or partners, or Licensed Hotels be liable for any lost or stolen rewards.

Except for rewards consisting in free nights as allowed hereunder, it not possible to transfer Points to anyone without a valid court order unless otherwise specified herein, like, for example, in case of Elite Status Members.

Points are not convertible into cash or in any other form of credit. Unless it is specifically forbidden by the Italian law applicable to participants resident in Italy and San Marino, Point value is set by Promoters at their sole discretion and may be adjusted from time to time.

The Promoters may decide, each at its own discretion, to issue membership credentials in multiple and different formats. Physical access credentials, issued by the Promoters, shall continue to be owned by the same Promoters (as the case may be) and shall be delivered by the Member on request.

WorldHotels may modify the Points entered in your Account based on the actual data relating to your stay.

Unless prohibited by Italian law for participants resident in Italy and San Marino, the Promoters may terminate the Program, in which case you shall redeem your Points within ninety (90) calendar days, or any other period required by the applicable law of your jurisdiction, after you have received the Program termination notice, in order to avoid losing Points.

Except for the provision set out for the residents of Italy and Repubblica di San Marino, the Program is governed by the laws of the United States and of the State of Arizona without regard to principles of conflict of laws, to the extent permitted by the Italian applicable laws.  Promoters shall not be liable for any illegible, lost, late, incomplete, incorrect, or not delivered mail or email notice; or for any computer, telephone, satellite, cable, network, digital tool malfunction, or any malfunction, congestion, interruption or intermittency of the hardware or software or of the network providing the Internet connection, any technical, typographical error or any other kind of error, unauthorized human intervention, incorrect or inaccurate registration of the Account data, failed registration or loss of any such information. The foregoing shall apply only to the extent permitted by the Italian applicable laws. Promoters do not assume any responsibility for any error, omission, interruption, cancellation, defect, delay in the operation or transmission, failure of communication lines, or technical error.

Unless prohibited by Italian law, we may amend these Terms from time to time by publishing an updated version of this document. Unless it is forbidden by the Italian law for participants resident in Italy and San Marino, if any revision significantly limits your rights as Members, we will inform you by sending you a message to the email address associated with your Account, and you agree that the new Terms will be effective ninety (90) days after sending you the message. Your participation in the Program is subject to the most recent currently applicable version of these Terms.

The waiver by one or more Promoters to take action in case of any breach by any Member of any obligation, provision or condition contained herein shall not be a waiver to take action in case of any previous, concurrent or subsequent breach by the Member of the same or any other term, obligation, provision or condition hereof.

These Terms shall be applicable only to the extent permitted by Italian law for participants resident in Italy and San Marino. Insofar as the above limitations conflict with Italian law, you accept that the remaining parts of the valid Terms shall apply to the fullest extent permitted by law.
